SPA acquires parts of ManTech's technical advisory business

Systems Planning & Analysis has acquired a collection of technical advisory programs from ManTech that further extend the buyer's footprint across national security space and technology programs.
The programs involved in this transaction are with the Defense Advanced Research Projects Agency, Defense Department's Strategic Capabilities Office and what SPA describes as "select" initiatives at the National Reconnaissance Office.
SPA is adding 180 employees in this move that grows its workforce to approximately 2,000 around the world and forecasted pro forma annual revenue to around $600 million. Other terms of the transaction announced Wednesday were not disclosed.
First unveiled to the market in 2021, SPA has leaned on the backing of private equity firm Arlington Capital Partners to further build itself out as a midsized government services company with the space sector as a priority in its acquisitions.
Intelligence and engineering offerings represent some of SPA's other key focus areas in its vision and strategy.
As for ManTech, it is pivoting toward more of a horizontal view of how the company works with agencies on their technology implementation efforts and particularly in artificial intelligence.
"Today’s announcement aligns with ManTech’s strategy accelerating innovation and mission performance in high-end cyber, AI, engineering, and emerging technology domains across our defense, intelligence, and federal civilian sectors," a ManTech spokesman told WT in an emailed statement.
Sheppard, Mullin, Richter & Hampton and Morrison Foerster acted as legal counsel to SPA. King & Spalding worked as legal counsel and Baird as financial adviser to ManTech.
