JDA closes Manugistics buy
JDA Software Group Inc. has completed its $213 million cash purchase of Manugistics Group Inc.
JDA Software Group Inc. has completed its $213 million cash purchase of Manugistics Group Inc. The deal was originally announced in April.
JDA Software will pay Manugistics' shareholders $2.50 cash per company share of the Rockville, Md., seller of supply-chain and demand and revenue management software. The purchase will enhance JDA Software's breadth in those specific areas, the company said.
Manugistics' government and defense industry customers include the Defense and Energy departments, Air Force and Marine Corps.
JDA will apply Manugistics' capabilities immediately to its commercial sector business, and will carefully review the government, aerospace and defense markets to determine its long-term strategy, said CEO Hamish Brewer. The outcome of those reviews and the company's strategy for those markets will be announced in the next six to nine months, he said.
Citigroup Corp. acted as financial adviser to JDA, while Lehman Brothers Inc. served as financial adviser to Manugistics.
JDA Software of Scottsdale, Ariz., offers software for retailers to manage their business processes. It has more than 4,900 retail, manufacturing and wholesale clients in 60 countries. JDA Software has about 1,150 employees and had annual sales of $215.8 million in 2005.
