NCI Inc. will purchase some of MTC Technologies Inc.'s assets used to conduct MTC's business under the Program Executive Office Soldier, Project Manager Soldier Warrior and Project Manager Soldier Equipment contract.
The contract is worth $238.5 million with a ceiling value of $382 million. The base period contract goes through April 2012. It could extend to 2015 if all options are exercised.
The contract includes professional engineering services and support for managing the development, design, testing, configuration, acquisition, logistics, training and fielding of equipment for integrated soldier systems.
NCI expects to retain the personnel associated with the program.
The transaction supports NCI's strategic growth into the professional engineering and support markets, said Charles Narang, NCI's chairman and chief executive officer.
"We believe that the addition of this management team to our company will position us for future expansion in the professional services market area," Narang said.
MTC of Dayton, Ohio, ranks No. 55 and NCI of Reston, Va., ranks No. 96 on Washington Technology's 2007 Top 100 list of the largest federal government prime contractors.
