FCBS acquires Computer & Hi-Tech Management

FCBS Inc. of Fairfax, Va., is buying Computer & Hi-tech Management Inc. to create a $200 million a year government systems integrator. Both are former 8(a) firms. The value of the deal was not disclosed.

Based in McLean, Va., Computer & Hi-tech Management provides IT and professional services to federal government customers such as the Navy, Census Bureau, Centers for Disease Control and Prevention, National Institutes of Health and the departments of Health and Human Services and Agriculture. It ranked 91 on the Washington Technology 2004 Top 100 list of federal prime contractors.

With the acquisition, FCBS will expand its presence in the federal market and "gravitate toward higher end IT services," said Allan Shure, FCBS executive vice president and chief financial officer.

FCBS' primary customer is the Army, which accounts for about half of the firm's business, he said. Other customers include the Navy, Interior and Treasury departments, Defense Information Systems Agency and Defense Logistics Agency.

Computer & Hi-tech Management is FCBS' second acquisition in the past 18 months. In July 2003, the company purchased AmerInd Inc., an Alexandria, Va., e-learning and IT firm, for an undisclosed amount.

The combined companies will have $200 million a year in annual revenue and more than 1,000 employees, FCBS said.

The Windsor Group LLC, a Reston, Va., investment-banking firm represented Computer & Hi-tech Management in the transaction.
