Who bought whom: The latest in mergers and acquisitions

In a $65.8 million cash deal, Reston, Va.-based SI International Inc. will buy government IT, engineering and logistics provider Matcom International Corp.Set to close over the next two months, the acquisition could include another $7.9 million if the Alexandria, Va.-based Matcom hits certain short-term revenue objectives.SI is picking up IT and engineering services capabilities in areas such as software development, enterprise systems, homeland defense, integration and training and logistics support.NCI Information Systems Inc. of Reston, Va., acquired Scientific & Engineering Solutions Inc. of Annapolis Junction, Md. Terms were not disclosed, but NCI is picking up about $20 million in revenue and more customers in the intelligence community.NCI's primary business is the design, installation and operation of secure information systems, including telecommunications and network infrastructures and end-user applications that they support. Sixty percent of NCI's revenue is derived from the Department of Defense and the intelligence community, company officials said. SES specializes in information assurance, software engineering and knowledge and enterprise management. Acquiring SES, with 90 percent of its revenue derived from intelligence customers, fuels NCI's growth in the intelligence community, according to NCI officials. Stanley Associates Inc. of Alexandria, Va., has acquired Fuentez Systems Concepts Inc. of Charleston, S.C., Terms of the deal were not disclosed, but FSC had about $45 million in annual revenue.The acquisition combines the advanced systems engineering, production, integration and command and control expertise of FSC with Stanley's network engineering, software and technical support capabilities, company officials said.The acquisition also is expected to boost Stanley's work with the Navy's Space and Naval Warfare Systems Command and Department of Homeland Security, the company said. FSC has more than 260 employees. Science Applications International Corp., San Diego, has acquired Atlantic Coast Telesys Corp., a Maryland-based provider of solutions to intelligence, defense and commercial customers. Terms of the purchase were not disclosed. ACT joins SAIC's Advanced Technologies and Solutions Group, becoming the Mission Research and Solutions Operation. Rich Shields, vice president of ACT, will manage the new operation, which will be based in Hanover, Md. ACT has 200 employees. The company offers products and services in digital signals processing, software and hardware engineering, integration and testing, program management, systems engineering, Web portal development and very small aperture terminal systems. TechTeam Global Inc. of Southfield, Mich., has acquired Digital Support Corp., an IT services provider . Under the agreement, TechTeam will pay $6.3 million now. Another $2.5 million will be paid over the next two years if Chantilly, Va.-based DSC hits certain operating income objectives and satisfies other conditions. DSC provides help desk, network infrastructure, information assurance, enterprise application, health care technology, systems integration and hardware services and solutions to various government and commercial sector customers. The company's most significant federal government client is the Department of Defense.
