CACI to buy Premier Technology Group

CACI International Inc. plans to acquire Premier Technology Group Inc. to expand its client base in the defense and intelligence communities and enhance solutions it provides for military operations.

CACI International Inc. will acquire Premier Technology Group Inc., CACI officials announced April 24.

The acquisition will expand CACI's client base in the defense and intelligence communities and enhance the solutions it provides for military operations, said J.P. "Jack" London, chairman and chief executive officer.

Officials of Arlington, Va.-based CACI also announced that the systems integration firm had third-quarter revenue of $222 million, a 21 percent increase over third quarter 2002.

The growth was driven in part by increased demand for command, control, communications, computers, intelligence, surveillance and reconnaissance work and support of communications in the Middle East, officials said.

Fairfax, Va.-based PTG provides services in five primary areas: intelligence analysis and security services, information technology, training, program management and logistics. Most of its 360 employees hold high-level security clearances. PTG had $43.4 million in revenue and operating income of $6.8 million in fiscal 2002.

"PTG offers a highly skilled and specialized work force and a solid track record of continued growth and expansion," London said.

Terms of the deal were not disclosed. The transaction is expected to close next month and should be accretive to CACI's fiscal year ending June 30, and the full fiscal 2004, officials said.

For fiscal 2002, CACI had $681.9 million in revenue. CACI employs 5,900 people in 90 offices in the United States and Europe.

During a conference call with analysts, London said CACI continues to consider acquisitions that increase its client base and capabilities and add to its bottom line.

"CACI focuses on acquisitions that will add technology or market space ... in areas of high demand or national need, not [acquisitions] simply bulking up the company," London said.

The PTG acquisition is CACI's fourth in the past year. Most recently, CACI acquired McLean, Va.-based Applied Technology Solutions of Northern Virginia Inc., which expanded CACI's work in the intelligence community in knowledge management, program management, network engineering and training.

In October 2002, CACI acquired Acton Burnell Inc. of Alexandria, Va., which expanded CACI's business with the Navy and Department of Veterans Affairs, and supported its growth in systems integration, knowledge management and training.

In August 2002, CACI acquired the Government Solutions Division of Condor Technology Solutions Inc. in Baltimore. The Condor division's clients included the Department of Veterans Affairs and National Guard. It brought capabilities to CACI that included systems integration, knowledge management and data mining.
