SAIC to acquire software firm Infodata

Science Applications International Corp. has signed an agreement to acquire Infodata Systems Inc.

Science Applications International Corp., San Diego, has signed an agreement to acquire Infodata Systems Inc. of Fairfax, Va., Infodata announced Jan. 11.


Under the terms of the agreement, SAIC will pay $1 per share in cash for each outstanding share of Infodata common stock, a premium of roughly 41 percent over Infodata's Jan. 10 over-the-counter trading price of 71 cents.

The Washington Post reported Jan. 14 the total purchase price to be $4.8 million.


Infodata designs, develops and delivers solutions that enable enterprises to share, maintain and retrieve electronic documents. The company also provides corporate and government organizations with consulting and systems integration services and products in the area of knowledge management.


"Over the past several years, our customers have had the need for digital asset work-flow and rich media agent solutions and expertise to solve business management challenges. Infodata's experience in developing solutions in this area, along with SAIC's leadership, brings additional depth to our customers in this rapidly expanding business area," an SAIC spokesperson said.


The acquisition calls for Infodata to be combined with an SAIC subsidiary. Infodata shareholders must vote to approve the transaction. The SAIC representative said the acquisition must be reviewed by the Securities and Exchange Commission.
