Chenega inks deal for ADG

Chenega Corp. has agreed to acquire Columbia, Md.-based digital strategy and communications services provider ADG Creative to add new footprints in the defense and intelligence communities, plus more commercial clients.

Terms of the transaction were undisclosed and both companies expect to close the deal in January pending closing conditions and approvals, they said Wednesday. Slated to become a subsidiary, ADG will bring 85 new employees to Chenega’s military, intelligence and operations support unit headquartered in Lorton, Va.

Tysons Corner, Va.-based KippsDeSanto was ADG’s investment banker and adviser for the transaction. Holland & Knight is external legal counsel to ADG and Hunton & Williams is both counsel and adviser to Chenega. ADG and Chenega were introduced to each other by respective representatives at RSM/McGladrey.

Chenega is an Alaska Native Corporation with almost 250 federal contracts across its portfolio of professional services organizations. The company’s work in the military and intelligence markets includes shared support services such as human resources, finance and security.

ADG will bring to Chenega additional service offerings in areas such as strategic communications, advanced data visualization, branding, positioning, training, immersive learning, video, motion, content marketing and interactive design.

The privately-held company just celebrated its 25th year in business and touts its core capabilities as around workforce anthropology, design thinking and software engineering.
