Sensytech, Argon craft deal

Electronic surveillance provider Sensytech Inc. of Newington, Va., and communications provider Argon Engineering Associates Inc. of Fairfax, Va., will merge in an all-stock transaction, the companies announced June 7.

Shareholders of Argon Engineering will each get two shares of Sensytech common stock for each share of Argon common stock outstanding, giving them ownership of 66 percent of the combined company on a fully diluted basis.

The companies expect to close the deal in September pending approval by shareholders of both firms and government regulatory reviews.
