AMS picks up Vredenburg

American Management Systems Inc. is buying R.M. Vredenburg & Co., a business and IT consulting company that specializes in defense and intelligence agencies.

AMS of Fairfax, Va., is paying about $42 million in cash. The deal also includes $2.7 million debt, up to $4 million in performance-based payments and $4.3 million in management retention agreements.

AMS is picking up about $60 million in additional annual revenue. About 90 percent of Vredenburg's 300 employees hold security clearances at the secret level or higher, with about 30 percent holding a top-secret clearance.

The deal is expected to close in 30 days.
