Perot Systems Corp. is acquiring Soza & Company Ltd., in a move that will add about $137 million in annual revenue to Perot's government business.

The deal for the Fairfax, Va., firm, announced Feb. 5, is worth $75 million in cash, plus another $32 million in cash and stock if performance targets are met. The acquisition will close by the end of February, said Greg Bedner, president of Perot's government unit.

Perot Systems, Plano, Texas, entered the government market with its 2002 acquisition of Bedner's company, ADI Technology Corp. With the acquisition of Soza, the unit's employees will more than double, from 600 to 1,500 employees, and annual revenue will top $200 million.

Bedner said the acquisition will strengthen the company's position in the homeland security market. Perot Government Services already has contracts with the Immigration and Naturalization Service and the intelligence community, while Soza counts the Coast Guard among its customers. *
