Apogen buys Ocean Systems Engineering

Apogen Technologies Inc. has acquired Ocean Systems Engineering Corp. The terms of the deal were not disclosed.

OSEC of Carlsbad, Calif., is a small, private, veteran-owned business that furnishes software and engineering services to several Defense Department agencies, including the Marine Corps Systems Command and the Space and Naval Warfare Center, as well as other federal, state and local government organizations.

The combination of OSEC's custom software applications, engineering services and hardware products, and Apogen's IT integration and program management services will create a strong, diversified company that can compete on enterprisewide projects, Paul Leslie, Apogen's president and chief executive officer, said in a statement.

The deal is expected to close by the end of June. OSEC will become a wholly owned subsidiary of Apogen Technologies. BB&T Capital Markets/Windsor Group, a division of Scott & Stringfellow Inc., was OSEC's financial adviser on the deal.

Apogen of McLean, Va., delivers IT solutions to the Agriculture, Defense, Energy and Homeland Security departments, the Census Bureau, Customs and Border Protection, IRS and Navy. The company ranks No. 48 on Washington Technology's 2005 Top 100 list of federal prime contractors.
